EXHIBITOR’S CONTRACT

Weihnachtsmarkt will be open during the following hours. In the event of a time change, Weihnachtsmarkt will notify each Merchant of said change(s):

PART A. The Sponsor agrees to furnish the Merchant with suitable space for displaying and selling the Merchant’s merchandise at Weihnachtsmarkt subject to the conditions set forth herein. The Sponsor will:

1. Request no commission fee.
2. Provide a 10’x10’ draped booth.
3. Reserve the right to assign a Merchant location for the maximum benefit of the show.
4. Provide publicity and advertising.
5. Provide basic security for entry to the building on Tuesday, Wednesday, Thursday, Friday, Saturday and Sunday of the event. Specific security for each Merchant’s booth shall be the responsibility of and provided by each such Merchant as they deem necessary. Sponsor shall have no responsibility or liability of any kind or nature for any loss, theft or damage to the Merchant’s property, merchandise, equipment, employees or agents. All expenses of any kind connected with transportation, packing, unpacking, securing, and ensuring the Merchant’s property or merchandise shall be borne exclusively by the Merchant.
6. Provide event organization and auditorium rental.
7. Arrange and maintain insurance for the common areas; however, the Merchant agrees to indemnify and hold harmless the Sponsor and the City of New Braunfels from any loss or damage arising from or related to the Merchant’s activities at the show.
8. We reserve the right to remove or require the removal of any merchandise from any Merchant’s display that, in the sole and exclusive judgment of Sponsor or representatives, may be potentially offensive or otherwise deemed inconsistent with the nature of Weihnachtsmarkt.
9. The Sponsor may cancel the show at any time at its sole option. The only liability the Sponsor has to the Merchant in the event of such cancellation before the show's opening shall be the refund of all rent paid by the Merchant.
10. We make no warranties regarding the collection of unpaid accounts, the return of merchandise, or returned checks.
11. Although an effort will be made to avoid duplications, the Sponsor will have no liability or responsibility for product similarity.

PART B In addition, the Merchant agrees as follows:

1. Due to fire regulations, merchandise, displays, and check-outs must be confined to booth space and may not extend into the aisles. Pole supports shall define Booth Space to standardize show appearance. Curtains will be provided and can be pulled back and secured if desired.
2. To move in and arrange merchandise between 9:00 a.m. and 6:00 p.m. on Wednesday and 9:00 a.m. and 3:00 p.m. on Thursday.
3. Booths are to be decorated in accordance with the Christmas theme of Weihnachtsmarkt.
4. All tables must be skirted to the floor and the booth decorated and fully stocked by 3:00 p.m. on Thursday for the Preview Party. If the booth is not show-ready by 3:00 p.m. Thursday, all money is subject to forfeiture, and the Merchant may not display his/her exhibit.
5. The booth will be attended by the Merchant or representative and open for business from 6:00 p.m. until 9:00 p.m. during the Preview Party.
6. To be present or have a representative in his/her booth during show hours.
7. To not pack up or remove any merchandise before 5:00 p.m. on the last day of the show.
8. To remove all merchandise by 9:00 p.m. on Sunday.
9. Will be responsible for any damage to walls, draped booths, ceilings or floors caused by the display or merchandise.
10. There will be no storage on site. Any storage, such as merchants’ vans or trailers for merchandise, shall be parked at the back of the two parking lots provided for the event.
11. If providing food samples of any kind, merchant must meet Health Department requirements and obtain Food Sampling Permit from City of New Braunfels. There is no fee for the sampling permit, and it is the sole responsibility of the Merchant to obtain before five (5) business days of the event.
12. Assume responsibility for Workman’s Compensation, FICA, or withholding taxes for any and all agents or employees who work in the booth and shall be responsible for collecting and paying sales taxes.
13. Provide Weihnachtsmarkt with a current sales tax and/or business tax identification number, as required in this contract.
14. No vinyl or sale signage is allowed.
15. Smoking is not allowed on the event premises.
16. Agree to obtain any license or permit required by the City of New Braunfels and to pay any charge or fee associated with obtaining such a license or permit for the operation of the show. All other licenses and permits shall be the responsibility of the Merchant.
17. No refund will be made due to cancellation by the Merchant after September 1.
18. This agreement will become binding with both parties’ signatures and the fully paid booth fee.
